Pat developed the 2 techs as a private consultant and was being paid for his time. Just like an employee, it becomes the property of the company, thus he assgned it to EDIG.

This was stated in so many words by Fred in an email to me, that I can't find at the moment, when I asked about it and how Pat was compensated. He would not discuss his compensation, but explained above.
