Unless I'm midtaken, Springer joined the board as an independent director and as such cannot hold shares in the company. The following is what influences my understanding. If that form were correct as originally displayed, I'd have to look for exxceptions
Independent Directors do not own shares in the company. (Some sources state non-executive directors are different from independentones in that non-executive director are allowed to hold shares in the firm while independent diectors are not.)
A non-executive director is a member of a company's board of directors who is not part of the executive team. A non-executive director typically does not engage in the day-to-day management of the organization, but is involved in policy making and planning exercises.
