We have new members of the board's executive committee, so the nature/wording of press releases is likely to be different, as are the processes for getting things done.

The "quorum" most likely was the minimum number of board members who were most easily available to respond to the question (as presented by phone or by email).  I doubt that there was a physical "gathering" for the vote.

In any event, we can not know from this press release if there was an urgent need for this vote, though I would think so.  Having said that, and if I am correct, that does not mean that the consequence will be "news soon".
