I don't think that "timely" applies in this instance. Generally, I believe that a material change must be disclosed as immediately as practical, and in such a way as to not cause disruption in the marketplace. Our most recent news did disrupt it, in my opinion, having come during a trading session, and arriving as a shock to many of us.
Here are a couple of other interesting observations on "disclosure" beginning halfway down on the following link, though I must also point out that it dates from '04, so it may not be as applicable now - I don't know. Scan for paragraphs beginning "Must Disclose Any Resignation...", and "Must File Correspondence...".
