The lawsuits are but one of many disturbing issues raised by Mr. Briscoe's letter. Too many to be dealt with in one post. But another important issue is Brett Gross's very behavior as he carried out his executive duties. As shareholders, I believe we need to learn more about his conduct in the activities cited in Mr. Briscoe's letter. For example- on what basis was Mr. Briscoe required to have an attorney present when he attended Board meetings? I am neither a lawyer nor involved in corporate governance- but such a requirement is something I've never heard of and, at least on the surface, sounds like a scheme designed simply to exclude Mr. Briscoe from Board activities. Maybe not- but I think we are owed an explanation. Similarly- was there an abusive effort by BG to accrue power from board members by inappropriately transferring power of attorney to himself? Was this done appropriately and legally?  If the power of attorney occurs without the transferring party giving permission or even being aware it's being done- can that be right? We don't know if that occurred with other board members- but we do know that, according to Mr. Briscoe, this occurred in his case. Again- as shareholders, we are owed an explanation.

Mr. Briscoe also states that he brought investment offers to BG's attention , but that he "flatly refused to acknowledge them". It is nice that he announced today some interested parties- but, if he is acting in our interest- we need to know how many other offers he may have chosen to decline, undermine, ignore or even sabotage. Maybe none- but we need to hear from him about this.
