Buyout----not to sound like a broken record....but!!

They will need to split Gold from Chromite......so they need to find a share mix that works for me...

If they simply cash out their will be a lot of taxes to pay..............but if they swap equity that might work.

Cash is King but.........If I had it my way.

Two companies..............

12 million shares gold PRB (leave all the cash and gold plays in this company including NSR )

Probably $ 0.75 to 1.25 a share

have the other 20,000,000 swap to Cliffs Shares ($ 60.00 U.S each)

Cliffs can 7.5 PRB shares for every single Cliffs Share ........$ 8.00 a share..
Cliffs balance sheet will reflect a non-cash purchase (boards like accumulating assets without cash)
Taxation should be favourable on this strategy until you "sell"

I am not a tax attorney so I really don't know...

That arrangement works for me...

FWR had 225,000,000 shares at a buck a piece......
Spider i think had 652,000,000 @ 0.19 for a total of 125 million +/-

PRB has 20,000,000 for a price of 160,000,000

Does Cliffs really want to wait for the 43 101 and see whats under the hood....or should they put a bid in now ?

Best site because some of it is on Solid Granite ! Not easy to find in the region.
