1. Stockwatch summarized it quite well1.
"The transaction will create a "new, leading gold explorer and developer," they say, although from most perspectives it is an acquisition by Probe. All of Probe's directors will carry on with the new entity and Mr. Palmer will remain president and chief executive officer, while Jamie Sokalsky will continue as the company's chairman. Mr. Gagnon, president and CEO of Adventure will join the expanded Probe as executive vice-president. Despite the one-sided management shuffle, Adventure's shareholders will control 47 per cent of the expanded company if they accept the offer of 0.39 share of Probe for each Adventure share."

2. New joint presentation between PRB and AGE is available on both websites, e.g. PRB on 7 April 2016, a short-and-sweet 16 pages summary, essentially it's a TO rather than a merger. PRB will be the surviving entity (see Slide 5).
- Flagship property (meadow hen please note): Val d'Or East with a current NI 43 101 estimate of inferred 0.77M oz Au 2.6gpt OP and 3.1gp UG. But, it should not take too long to upgrade this inferred to indicated...just keep on drilling to bring it up to the 1-2Moz level, then this deposit would become respectable. Dave will have over $20M after closing to explore. Hope that he could pull another Borden Lake (and G would be ready to snatch it from him, at a right price of course). Note that Val d'Or East has an RR to take the ore to various milling facilities. A convenient one is ICG mill some 20km away, just at the edge of the town (Val d'Or). Expect G to get involved in ICG as well.
- Wild card: 50-50 JV between AGE/LSG (now THO). Hope that Dave would have better luck with THO...se my post on SH, link below. I have been hiding over there, since AGO/PRB has been dormant.
