Good points by Real888 and BOW2U,
Certainly deals between SLI and IGD cannot be called arms length dealings. That said, if we look at the agreements between SLI and Amarok and IGD we see only a little little difference in financial terms.
Cueva Blanca Property Agreement
Under the terms of the letter agreement, Amarok can acquire a 60% interest in the Property
(subject to a 1.5% NSR) in consideration of:
(a) making cash payments of $200,000 to St. Elias over a two-year period;
(b) issuing 100,000 common shares in the capital of Amarok to St. Elias; and
(c) incurring $1,500,000 in exploration expenditures on the Property over a three-year period.
In addition, Amarok shall have the right to purchase one-half of the 1.5% NSR from St. Elias for
the sum of $1,500,000 thereby reducing the NSR payable to from 1.5% to 0.75%.
vs.
Under the terms of the letter agreement, Intigold can acquire a 60% carried interest in the Property
(subject to a 1.5% NSR) in consideration of:
(a) making cash payments of $200,000 to St. Elias over a two-year period;
(b) issuing 1,000,000 common shares in the capital of Intigold to St. Elias; and
(c) incurring $1,500,000 in exploration expenditures on the Property over a three-year period.
In addition, Intigold shall have the right to purchase one-half of the 1.5% NSR from St. Elias for the sum
of $1,500,000 thereby reducing the NSR payable to from 1.5% to 0.75%.
In fact the IGD deal is much better for SLI. 100,000 shares of AMOK @ 26¢ as opposed to 1,000,000 shares of IGD @ 44¢ is more than just chump change. Or viewed another way, With Amarok we could obtain $26,000 worth of a company with a $20M market cap. Our IGD deal gives SLI a $440,000 stake in a company with a $7.2M market cap.
So I think that this deal can be qualified as significantly sweeter for SLI and in keeping with all other option deals entered into by SLI.
