I am an occasional reader and first time poster on the agoracom board. I just want to bring up a point that many on this board dont seem to realize. The directors are supposed to direct the company and the Officers(CEO, President, Secretary Etc) answer to the directors. I am going to include paragraph 19.1 from the SLI Certificate of Incorperation:469482

19.1 President and Secretary Required

The directors shall, from time to time,appoint a President and Secretary and such other officers,if any,as the directors shall determine and the directors may,at any time, terminate any such appointment. No officer shall be appointed unless he is qualified in accordance with the provisions of the Company Act.
