I think the president has the power to elect an officer without board approval (which would have been easily obtained if required) but I'm not sure in SLI's case. Anyway, she's listed as an officer now.
I remember having to vote for new directors on the voting proxy. Tina was one of the potential directors in that vote. She obviously was voted in as a director. She has a lot of power holding these two positions is the point I was trying to make. She's not just a secretary, she is an officer of the corporation as well as a director. JW
