You are correct, all uncast votes do not count in favour of management they remain uncast like you suggest. The majority is determined from the total cast votes not the outsatnding shares.
as an example if the the total of cast votes hypothetically represententd 80 million shares a majority would be won with 40+ million votes for a nominee.
this info is from a conversation with a person working in the scurities industry and familiar with the proxy voting process, and a follow up conversation I had with a seperate corporate lawyer asking the question of what determines a majority and what happens with uncast votes.
