I will chime in and suggest that the folowing steps would be the most logical.
Step 1 Replace the BOD with competent business people either for long-term service or as a transition Board to execute a search for the appropriate Board and Executive members.
Step 2 Hire an mining executive search firm to identify ideal replacements for the executive positions ie : http://www.miningrecruitmentgroup.com/about_us.php
Step 3 Identify and recruit replacements for transition board if necessary
