Tres-Or Resources Ltd. proposes to raise up to $350,000 by way of a non-brokered private placement of flow-through units at a price of 18 cents per unit. Each unit consists of one flow-through common share and one non flow-through common share purchase warrant with each warrant entitling the holder to purchase one non flow- through common share of the company at a price of 27 cents per share for a period of 18 months. Finders' fees may be paid in connection with the placement in accordance with the policies of the TSX Venture Exchange.

Proceeds from the private placement will be used to advance the company's exploration projects located in Ontario and Quebec.
