I am thinking that a certain number of Directors are need on the Board.

Not on the Mexican subsidiaries. A Mexican sub, is in actuallity, a complete separate organization from it's mother co in Canada.
The mother company controls it indirectly through it's stock or shares, plus financing, which in turn can control the Officers of the Mexican sub.
Unless they are fired by a called shareholder meeting, They have the same power to run the sub as the mother companies' officers do with the Canadian co.
Soo they are generally picked with care in the formation.
As an example, my wife is the 'Administrador unica' and I am the comissario of a small exploration co here in Mexico..
As the 'only' administrator, she has complete authority and say on all co matters.
While I am effectively the co. accountant, representing the investors and the Federal government in seeing that all taxes etc. and other obligations are paid in full, and on time, protecting the investors, not the company. I am also required to be the companies Sheriff, to report any and all irregularities or illegal actions by anyone.
We can tell the Canadian Mother company to mind their own business and to bug off, but in actuality, we appreciate and need the contacts etc., especially the fattening of the Mex co accounts heheheh
Incidentally, I am not paid snifff go figure, hence the need for the used Mule concession.
In the case of Jim and Gary, when they formed UC, by meeting certain Mexican legal reqiirements, they can / were legally installed as the Co officers.
