Your posting behavior remains puzzling to me; the depth of anger you apparently have over being taken advantage of by JAGH management is causing you IMO to waste a lot of time and energy denigrating CGNH - a medical device company that used the JAGH shell to gain access to public funds for their development programs.

When CGNH executes corporate strategies to secure such potential funding and establish a "firewall" against potential hostile takeovers you post negative comments that IMO do not represent a "glass half-full" view but rather a vindictive attack to satisfy some deeper need you have.

In reply to the "two red flags" you offered -

  1. If CGNH had "moved down the food chain" of qualified auditors your view would have some foundation; but as you rightly note CGNH has "moved up the food chain" to KPMG.
  2. With 65 million authorized common shares and 55 million issued the prudent action by CGNH's Board is to expand the number of authorized shares to gain access to public funds - the very reason CGNH moved from being a privately held company to a public company. And, as a publicly traded company subject to unwanted take over actions by opportunistic third-parties, establishing a "poison pill" option to block such potential actions is IMO a wise and prudent action for the CGNH Board to take to protect the interests of its current shareholders.
