The only way you withhold from voting or vote against would be to select that option(s) on the form. Otherwise you are voting FOR each of the matters referred to therein.
I don’t know what all the brouhaha is over this matter this year. If you look at page 2 of the Management Circulars from 2006, 2007, 2008 and 2009 the language is the very same with the bolding and capitalization there for all to see. What I am interested in is the intentions of Burlingame, Solitor and any other Shareholders they have managed to secure should they be successful in their bid to replace any or all of the board and, as an extension, current personnel at Falcon. What I am not interested in is any attempt to take the company private at a share price at or near the current value.
From the Management Information Circular:
EXERCISE OF DISCRETION BY PROXIES
The persons named in the Management Proxy will vote for, withhold from voting or vote against, as the case may be, the Common Shares in respect of which he is appointed as proxy in accordance with the direction of the Shareholder appointing him. In the event that a Shareholder does not specify in his, her or its instrument of proxy that the named Management Proxy is required to vote for, to withhold from voting or vote against, as applicable, in respect of the matters to be considered at the Meeting, the Common Shares represented by such proxy shall be voted FOR each of the matters referred to therein.
