JDM has indirect control and direction over 6,585,000 common shares of Fancamp (the “Shares”), 570,000 options to purchase units (the “Units”) comprised of one share and one-half (1/2) of one warrant, and 5,605,000 warrants to purchase shares (the “Warrants”) representing approximately 24.22% of the outstanding Shares on a partially diluted basis.
