the way I see things is that FNC is not Coca Cola or Berkshire Hathaway(would be nice)in any case it is a junior mining company that has developed over time and expanded to include the likes of Mr. Granger, who was supposed to be a helpful addition to management with his weighty title and superior experiences- especially with respect to corporate governance issues. What happened? As far as I can tell Fancamp didn't have any trouble in the governance department prior to Mr. Granger, and after his arrival expenses went through the roof and now we're in this battle for who should run the company.

As far as why Mr. Smith was excluded from the ISS recommendation, I just don't know -yet like to keep an open mind on things.
