Purchase price: 18 cents per share

Warrants: 16,233,276 share purchase warrants to purchase 16,233,276 shares

Warrant exercise price: 25 cents for a two-year period

Insiders: Dany Boilard Inc., 100,000; Mario Boilard, 8,300; Alexander Asgary, 75,000

Finder's fee: An aggregate of $269,539 in cash and 873,393 finders' warrants, payable to Canaccord Genuity Corp., D&D Securities Company, Hampton Securities Ltd., TD Waterhouse, Felix Cirelli and 7307284 Canada Inc. (Each finder's warrant entitles the holder to acquire one common share at 25 cents for a two-year period.)
