There is zero chance of this document discouraging anyone except an uninformed investor type. This is a standard shelf type prospectus that is very common and sometimes it is acted upon and sometimes it's not, solely at the discretion of the company as it sees fit in conducting it's affairs. They have issued these in the past as do many companies, it's like an annual ritual and makes it easier and faster to move if the company deems it in their interest since the ground work is done and filed now. The disclaimers are the standard mumbo jumbo type stuff of the legal, corporate and regulatory world today.
