Corporate Strategy

Its primary focus is on properties located in North America that contain deposits of gold, silver, molybdenum and other strategic minerals. It seeks properties that are close to production and have the potential for additional discoveries through exploration. Acquisition by purchase or partnership is preferred, especially where advanced mining development and mineral production are contemplated.
Company Restructuring
In February of 2005, Golden Phoenix announced that President and CEO, Michael Fitzsimonds, was stepping down to pursue outside career opportunities. At that time, the Board of Directors assigned the Company’s executive duties to a three-person Interim Governing Board (or IGB) authorized to perform the executive leadership functions in accordance with Sarbanes-Oxley guidelines. The IGB was comprised of two outside directors, David A. Caldwell and Ronald L. Parratt, and was chaired by Advisory Board member, Kenneth S. Ripley. On behalf of the IGB, Mr. Ripley and Mr. Caldwell were on-site at the Sparks headquarters, charged with the day-to-day executive leadership of the Company.
The IGB has since been dissolved and David A. Caldwell is now CEO, Robert P. Martin is President and Donald R. Prahl is Chief Operating Officer.
