Umm, surely if they intend to buy all KWG shares then it would be cheaper to buy any available in the IPO at a lower price than might be needed in a takeover?

Takeover would require a 'valuation' and hopefully a price per share well above current market prices.

This IPO is at a price in line with current market prices.
