At the meeting, I heard that Frank, in hindsight, admitted that the "Special Shares" would have given his management too much power, and that he was working on another way to accomplish it's original intended purpose without the need for special shares.

I'm sure that Cliff's thought that KWG was trying to pull a fast one and thus the attitude by Cliff's lawyer at the meeting.
