We recall that Items F and G in the Agenda were voted FOR at the February Meeting :

" (f) TO consider, and if deemed advisable, pass a special resolution, with or without variation, the full text of which is reproduced in the Management Proxy Circular accompanying this Notice under the heading “Continuance of the Corporation to theCanada Business Corporations Act” and incorporated by reference in this Notice (the “Continuance Resolution”), approving the continuance of the Corporation from the jurisdiction of the Business Corporations Act (Québec) to the jurisdiction of the Canada Business Corporations Act (the “Continuance”);

(g) TO consider, and if deemed advisable, pass a special resolution, with or without variation, the full text of which is reproduced in the Management Proxy Circular accompanying this Notice under the heading “Amendment to the Articles of the Corporation” and incorporated by reference in this Notice, authorizing the Corporation (the “Amended Articles Resolution”), only if the Continuance Resolution is not approved by the shareholders at the Meeting or the Corporation decides not to proceed with the Continuance, to amend the Articles to provide the directors with the ability to appoint additional directors between annual meetings of shareholders and to permit the holding of any shareholders’ meeting in or outside of the Province of Québec ;"

Management has decided not to proceed with the Continuance at this time, and to instead amend the present (Québec) Articles to permit the shareholders meetings to be held outside Québec. KWG has effectively filed the Amendment Articles on March 6 to the Québec Registrar.

The Certificate of Amendment has been filed on sedar on March 8, as well as the amended By-laws (Item H).

I am thinking of a couple of reasons why the change of jurisdiction has been postponed, one of which is that there may be a legal difficulty to start a meeting under the Québec Act, adjourn the meeting under this Act, and continue the meeting under the Canada Act... An adjourned meeting is the 'same' meeting that is held in more than one part.
