It is my view that the company is required to file a Form 8K as required by the SEC. My sense is that Agreements between parties does not shield a company from the requirement. Turley, should answer the question, at least to the extend, as to why this does not constitute a material event. I think Pohl said at a SHM that such a settlement would meet that standard.
