An NDA would not preclude buying; it is the knowledge of what is included in the NDA and the transaction that gave rise to the NDA that precludes buying by an insider. Alas, it is the insider information that prevents the buying, not the NDA itself.
As to the technicalities of a trust buying shares when an officer is a beneficiary, I do not know.
