To me it looks like PTSC has a Joint Venture to to explore the posibility of licensing the IP product that Nupower has.

The "validation" period is a chance for PTSC & Nupower to showcase the products they have agreed to work together on. NuPower probably already has a handful of customers requesting this "product" while PTSC may have some customers of their own that they can bring to the table. During this validation period, PTSC will probably evaluate whether these Nupower products are profitable and marketable to expand to other countries/customers. Here is where TPL would come in... giving more boarder customer contacts/exposure. Again NuPower and PTSC would retain control of the pricing...where as TPL would be a a distributor of the product..(receiving a comission based on the sales they generate of this IP product).

If PTSC sees a demand for the product during the validation stage... 3 events could occur. 1. Continue the JV process with Nupower, 2. PTSC could either purchase the ownership rights of that IP 3. M & A with the entire NuPower company.

NuPower is probably a small company that doesnt have the exposure to showcase their products. Maybe NuPower is having a tough time staying afloat despite a solid product due to lack of capital or infrastructure... or even mgt... These are all conditions or reasons that could attract PTSC to JV and later M & A with this company.

Lets see what happens... maybe this JV works out... maybe it doesnt... but i like that PTSC is taking a step in a new direction and this could be one of few type of JVs or M&A we could see in the near future. We as shareholders will probably not see any short-term results/success .. but it makes me feel alittle more confident in what the BOD is trying to do in the long term for PTSC.
