Nice post SGE this is how I think as well.

Looking back IMO Swartz and Pohl became good buddies. Swartz had Pohl in his hip pocket and Pohl is still involved on the BOD for Swartz in his company (Wolf this does mean he's spending more time at home with his family because he is not the CEO of a company who has to go to work everyday like people that have full time jobs). It would be interseting to see if this is the legal avenue for Swartz to pay off Pohl for his contribution in steering the money decisions in his direction while CEO at PTSC. What is Pohl's compensation for BOD participation in Swartz's company? Now that would be interesting to see. Do your damage at PTSC retire with a nice legal payday from Swartz all IMO.

We don't know how any of these BOD members voted on the dividend issue. Perhaps some of them opposed the decisions of the CEO but were out voted. I agree with SGE that I don't support them and it would be nice if they would step down and perhaps that is the plan. Gradual replacement of the remaining BOD as opposed to a complete house cleaning which could send the wrong message right now.
