S&L held all the cards regarding the convertible stock, to suggest that any BoD could have progressed without their consent and with a more favorable result to PTSC is spurious

But the dividends were absolutely the BOD's choice and for that mammoth error (favoring S & L above the shareholders and threatening the company's viablity) they must be judged.
