Full ownership of the MMP would revert to TPL/Moore per the MA.

Full ownership.. as in they would be then be the sole owners of the entire MMP..?? Whomever purchased the PTSC half would just end up with nothing? I believe this is 100% incorrect. The poison pill as I undestand it is in the case of a hostile take over... The MMP would be split between the two owners.. thus recreating the senario that we had prior to the 'merger' b/t PTSC & TPL.. both owners would retain the right to sell licenses.. tho neither in theory would make much money as they would compete against each other.. undercutting license fees. And there's also the caveat that TPL would retain exclusive rights for one yr.. But if TPL gave their blessing to whomever PTSC 'sold' their half to 'going private' and continued with basically the same MA... it would be business as usual.. only with absolutely no public harassment or responsibilties.
