I'm not sure what you are trying to tell me, but....
You do note the words "unless otherwise instructed" I presume. Further, I presume that this means "unless you voted NO (or AGAINST)". I suggest this because they are proxies, which "instruct" the recipiant as to how the vote is intended to be cast. Perhaps an attorney can verify my latter presumption.
In other words, it's all very straight forward IMO. You vote "for" and it's counted that way. You instruct your vote be "against" and it's counted that way. Only those votes/proxies received are counted.
