As I'm encouraged to hear you're interested in a truthful dialogue here on the Agora board, I await your response to the questions below. To date you have offered that had the BoD not awarded Mr. Flowers a $146K bonus less than 2 months after being elevated to CEO, they would have been in breach of his employment contract and thus would have introduced an "illegality" through that breach. That is an untruthful position as I understand the contract clauses so I'm sure in the interests of the integrity of this board, you don't want to let it stand. If you disagree, certainly in the interests of truthful dialogue, you can offer the response to these questions that you have so far avoided:
With that now cleared up, please milestone, PhD., explain how it is a breach of the contract if a bonus that is owed purely at the sole discretion of the board, is not awarded, or is awarded at say, for this example, a level 5% of the full maximum amount that can be awarded?
Please be careful in your response, as in the context of the condition and performance of PTSC, your response may indict those very people you are supporting. With your PhD level studies, certainly you can provide the specific clauses of said contract and justify their application in the current context of PTSC company and management performance, in what way you see them being breached and thus causing an "illegality" occur.
Please be sure to apply your response to the situation whereby had the maximum full available bonus not been awarded less than 2 months after the elevation of Flowers to the CEO position, it would have constituted this magnificant breach of which you speak.
