A practicing lawyer and Juris Doctor would have access to the same legal precedents, but before that was necessary, a simple search should have been made to prevent a flawed proposal being sent in the first place, in my very humble opinion.

As ronran correctly noted,

They must follow a legal format under SEC guidelines (which, in turn, would most often require experienced counsel), absent which the company is entilted to simply discard and/or ignore them.
