Why didn't PTSC know

Have all of you read Moore's complaint? If not, then I suggest that you do, unless of course for health reasons you need to avoid an elevated blood pressure. I will speak to a few items from that complaint
Between 2006-2008 TPL expands Alliacense and added 3 patent portfolios to the MMP it was previously licensing and began marketing & commingling its efforts for all 4 portfolios . Upon info and belief -revenues generated by the MMP were diverted to support its business expansion into non related patent portfolios
1. grew to over 50 employees
2. Leased expensive office space
3. Hired expensive bus development personnel to expand into areas that would decrease MMP licensing efforts
Upon info and belief- all such expenses were borne by the MMP revenues. While TPL expanded its business into Non MMP portfolios it departed from prudent & reasonable business expenses
1. Private jet
2. First class travel
3. Chauffered limousine service
4. Purchase of limousines
5. Expensive equipment for newly hired VP in England who upon info and belief has a close personal relationship with Leckrone.
Moore is informed and believes that TPL made excessive and exorbitant expenditures for legal fees and made secret and undisclosed profits and returns by reason of such legal fees.
Focus on MMP lost to the detriment of Moore and PTSC
Seriously folks....PTSC BoD never questioned where the money came from for the jet, limo, etc. etc.
Complaint also states that TPL made no regular or periodic reports to Moore of their licensing efforts. If they failed to inform Moore, is it reasonable to assume that they failed to inform their other partner PTSC?
Conspiracy to commit Fraud
2007 - TPL conspired to charge exorbitant, unreasonable & illegitimate fees and expenses to Moore under the ComAg. PTSC was under the ComAG too. Is it reasonable to assume that TPL conspired to commit fraud against PTSC?....was our BoD absolutely clueless about this?
Our BoD gave up 100% of the licensing efforts to TPL and in doing so gave up the right to communicate with us about everything except what TPL said was ok.
No wonder we are in such sad shape. Ridiculous MA, Toxic financing, director options and outrageous salaries, bad hires, failed M&As and no accountability for what was going on right under their noses. They hide behind corporate governance that is designed to protect them, at what cost? I sincerely hope that most of you will make an effort to attend this years ASHM. It should be interesting.
