Earlier today and before the company PR, I contacted the Delaware Dept. of corporations to inquire if there was a record for the bylaw amendment pertaining to Majority Voting. The person I spoke with said that the last amendment to our corporate bylaws that was filed was in 2009 for Preferred Shares.

I explained that shareholders had voted for a proposal to adopt majority voting at our last shareholder meeting and it was approved. To date, the company has ignored shareholder requests to provide us with a copy of the amendment. The person I spoke with said Delaware Law may not require such a bylaw amendment to be filed. She was very sympathetic and suggested that the Delaware Attorney General be contacted for guidance.

I was going to post this and then discovered the PR and Question/Answer regarding Majority Voting. Perhaps someone might like to make that call to the Attorney General's office. They might like to know that the BoD waited to inform shareholders of their decision not to honor majority voting until it was too late for shareholders to submit another (and bullet proof) proposal for this year's proxy. You might also ask them to take a look at the Five part (condensed) posting from yesterday. IF the SEC won't act, we need to try other alternatives. One word comes to mind......dickweed
