Assuming that the Intel license brought in $20M to TPL, and the AMD license brought in $3.05M to PTSC, both prior to merger the numbers are as below. We don't know for sure that was the TOTAL Intel fee but according to the merger agreement, TPL paid PTSC $10M of the Intel fee to consumate the deal, so let's just say it was $20M. (I actually suspect Intel paid MORE, and TPL got to keep more than half of the fee, but that's neither here nor there at this point).
Based on those assumptions, the math on the MMP goes as follows:
Based on those numbers, and the assumption that PTSC got to keep the FULL AMD license fee and got $10M of a stipuated $20M Intel Fee, each partner should have received the following amounts:
As we know, the "Operating Expenses" all go to TPL. Part of that goes to cover teh 15% that TPL is supposed to get off the top to cover their licensing efforts. That would account for $46,800,380.00 of the total operating expenses costs of $65,994,348.00, meaning the remaining $19,193,967.75 went to third parties. Presumably that's for outside legal help, experts, etc., for MMP ONLY related work.
However, as we all know from the lawsuit, our longstanding concerns were confirmed that TPL was charging for work from other portfolios they represent. Additionally, they were receiving fees for Patent Lobbying work. They also were billing as 3rd party costs, in-house Alliacense costs which was NOT part of the deal Who knows what else. So the bottom line is that of the $19.2M in 3rd party costs, TPL also pocketed a portion of that according to the PTSC lawsuit. How much only the insiders know.
So, even ignoring the portion of the $19.2M that TPL siphoned for themselves, in the 6 plus years since the agreement was signed, TPL has pocketed:
From the $121,956,752 amount, TPL was to split this 45/55 with Chuck Moore receiving th 55%. Additionally, Leckrone had cut deals with Chet Brown that a portion was to go to him as well. In addition to that the "INDEPENDENT" member (I must add a huge ROFLMAO) of the PDS management committee, Robert Neilson was ALSO to receive a percentage of TPL's profit.
Despite these agreements, and this cash windfall to Leckrone, a quick cursory look back shows that according to Moore, Leckrone only paid him approx. $11M of the $67M that their agreement allegedly calls for. I can't remember what Chet Brown's cut was to be, but obviously he didn't get it and also took Leckrone to court (and WON!). Robert Neilson's cut was significantly smaller in the $1M - $2M range if memory serves, but apparently he stiffed ol' INDEPENDENT BOB as well.
In addition to that, he's snaked additional monies out of PTSC's coffers in the forms of grants and loans, AND he's diverted license fees to other portfolios that should have ADDED to the total license fees that the MMP has brought in according to allegations in the PTSC and other lawsuits.
Let's assume he was a stand up guy (instead of the not-so-stand-up guy he is alleged to be), and paid his partners what he had originally agreed.
So TPL has received approx. $168.7M from the MMP and paid out approx. $11M leaving them $156.7M to run their businesses and for their personal profit. By playing by the rules, they apparently should have received only about $92.2M for that same effort. Ignoring the diverted license amounts, the extra reimbursed costs, and any other stuff, TPL has managed to get an extra approx. $64.5M than they were entitled to.
Those amounts are clear of the money that 3rd party lawyers have charged for the J3 and T3 litigation efforts as those are reimbursed by PDS in addition to the 15% that TPL gets.
Despite all that, this hasn't been enough for Leckrone to comfortably run his business and according to our side has rendered him insolvent. Who believes that?!
It's hard to know if he's smart or dumb considering this info. All I know is that he seems to be willing to screw his partners out of every penny he can, yet he's settling with the Apples, GEs, Motorolas, and Fords of the world for pennies on the dollar.
Hey, Lecky, it's time for you to have the meeting with the man in the mirror and realize the REAL enemy is the MMP infringer, and your REAL responsibility is to PTSC, Moore, PTSC Shareholders and your other business partners and MAKE AMENDS AND MAKE THINGS RIGHT!
