I'm not saying I agree with you, I'm taking a hypothetical position that you are correct.

So why didn't PDS get $4M as would have been the case, roughly, before TPL played the numbers game with the % split? Where was PTSC's fiduciary responsibility while this was all happening?

Are you also implying that TPL got 15% off the top from PDS, leaving about $850K to split and thus only about $425K to PTSC?
