There is no excuse for an impasse of such long duration. CJ always had the right to file an arbitration claim asking for a third member. He chose not to exercise this right until recently. Was it becase Leckrone threatened Carl and Gloria directly. Or was it, coincidentally, that members of this forum repeatedly referenced that part of the Operating Agreement that allows for such arbitration demanding why it hadn't been done sooner.
