had to sign off on the JV proposition, but it was all negotiated and already effectively a done deal at that point. It also included the 5 (?) person Rancho Santa Fe group, and anyone else who bought debentures.
I'm not completely certain because it was quite some time ago, but I believe at that time Lowell Giffhorn was even taking Credit Cards payments over the phone from anyone wanting to buy debentures.
I didn't more fully answer in my initial post because I was half way out the door, so sorry about that. Anyway, the only compensation that may have been unofficially tied to those folks going along with the presented deal, was dividends on Warrants; that was the sweetner.
