I agree with everything you said, except for the last bit...

 "There is no gloom and doom needed when an insider trades.  There are regulations that will place them in jail if they are selling ahead of bad news"

Sometimes, insiders do "get away with it"...take the case of GRW - many posters on their board (including myself) were angry enough to threaten to launch an investigation. But, to my knowledge, none of us did and so they "got away with it". Mind you, the stock has been at 10 cents ever since, so that may in fact, be the punishment.

Just my two cents worth.....
