If present management win's this vote I suggest that they put in place a board of their choosing with each board member having a different end date regarding their tenor on the board. With differing lengthts of service or their service endign at differetn times this would stop an attack similiar to Rosseau's as they could not replace the whole board in one fall swoop. I forget what this is called, but it is a defence against a hostile takeover attempt like the one we have been wittnessing.
