1. Rosseau had already turned down a compromise.

2. Rosseau have not AT ANY TIME offered creative suggestions as to the possible future improvements that they would propose for NOT.

3. All the proposed Rosseau members of the new board have histories that I would not entertain as warranting any form of respect and they are not persons that I would accept as safeguarding my investments.
