And consequently rosseau, PNP, Sprott, Genuity and ANY OTHER Party to the Dissident Proxy should be AUTOMATICALLY EXCLUDED from participation in ANY Private Placement being considered by Noront Resources with THREE of their Slate of new Directors sitting on the NEW BoD.

Thus, before we give any approval to any Private Placement NOW or in the next year, we must be informed well ahead of the completion of such new or curren Private Placement PROPOSAL not only what the justification for such a proposal really is, BUT we, the Share Holders of this Company should also know exactly who the intended Purchasers of the proposed Private Placement are going to be!

And only then would we case our Vote in aproval or rejection of the PROPOSAL.
