I understanf full well what you are saying but the Past does have impact on the Present.

This is not a "water under the Bridge" situation!

I appreciate "details" as well but look more to Cause - Effect and PROCEDURE - CONSEQUENCES (actions-outcomes).

Cause: Dissident Proxy Circular - Effect: Compromised new BoD!

PROCEDURE: Get up to speed on Corporate Structure(s), Select a NEW CEO/President (prior to ANY other Decisions affecting the HEALTH OF THE COMPANY as the NEW CEO will have to work under any such new decisions the BoD makes - very important, VERY IMPORTANT), New CEO conveins a meeting of the BoD to enact a Working Plan going forward, With Working Plan in place Budgets are set - and not mile wide vague perameters as is the proposal at present, Funding Budget/Plan(s) are maped out and Excess cash put aside for future contingencies/iniatives, etc., Direction to Management and Professional Staff is given and Management provides feedback while implementing the BoD Directive(s), Future Budget Planning COMMENCES BY THE NEW CEO in conjunction with Management input (based on areas of responsibility), BoD reviews Progress, BoD INFORMS Share Holders of Current state of Progress and any NEW NEEDS...

CONSEQUENCE: All interested Parties are assured of a FUNCTIONING COMPANY - like it or NOT!

I may address the latter two and onehalf of your comments later, as there is very good items there in worthy of much discussion, but for now, there are many other things to DO.
