Problem with an all share deal.

The offer is 1:4, and values FWR at 1/4 NOt's sp, which its at now. Why shouldn't I take my money out of NOT and put it into FWR? If the deal goes through, I don't lose any money, or even get less shares. If the deal doesn't go through, it'll probably be because someone else comes in to raise the stakes and I make more that 1:4. Am I missing something?
