didn't like what a BOD was doing and didn't like the fact that this BOD passed up an offer(s) from a rather large entity. So they moved to take over the company themselves while maintaining an open line with the entity with a promise that they'd see what they could do to bring about an arrangement. They of course had to sweeten the pot by absorbing other strategic areas by the usual corporate means to make the deal tastey enough. Sounds reasonable doesn't it? The question is, who do the present movers and shakers really work for? Is it the entity or the shareholders..... all of them? That will determine what they take to their bank and they won't know this until the votes are cast and tallied. They'll take their best shot and hope to choose wisely. They only get one.
The above is a hypothetical outline, not to be confused with any real situations past or present.
