Somehow, the way I understood it, this is not a takeover, but a merger.

I have tendered my FWR shares some time ago, but the share prices do not come into it, as we are not paid in dollars but in kind: I will get 1 NOT share for 4 FWR shares tendered plus a fraction of a cent.

Where the share prices come into play is in the decision making process in case of those who are not Noront shareholders on the long-haul.
