Let's say someone offers shares for some of FWR's property FWR would then own shares of this other entity - not of much interest to FWR shareholders. If they accept NOT's offer they will finsh up owning NOT shares directly which is far preferable to owning shares in FWR which in turn will own shares of another company making it a holding company, selling at a discount
