Upon further reflection, I am thinking that FWR shareholders would still get to vote on the takeover even if its all cash. But I am thinking that the process is much smoother sailing for Cliff on an all cash deal. For example, if all cash, perhaps only a simple majority is needed, rather than 66.67% in all stock offer. I really dont know exactly how this works, but hopefully someone with knowledge in these matters (Hoov?) can clarify things. Thanks for the responses.
