I truly have a difficult time believing Mackenzie Watson would promote a NOT takeover, after our dealings with FWR over the past month.

meetings of the Board.

The Board is comprised of 6 directors, of whom each of Michael Sayer, Gilles Dubuc, Fouad Kamaleddine, and

Mackenzie I. Watson are independent for the purposes of NI 58-101. Peter H. Smith and Debra Chapman are not

independent since they serve as the President and Chief Executive Officer and Secretary and Acting Chief Financial

Officer of the Company respectively.
